These Terms and Conditions ("Terms") govern your use of PavelHoracek.pro and the performance marketing services provided by Todor Social, operating from Böttcherstraße 28c, 87687 Oberhausen, Germany (the "Company", "we", "us"). By engaging our services or using this website, you agree to be bound by these Terms.

We provide Google Ads management, social media profile promotion, landing page advertising and multi-page paid-media strategy. The exact scope, deliverables, ad-spend limits and reporting cadence are defined in the plan selected by the client or in a separate written proposal.

Services are provided on a monthly retainer basis unless otherwise agreed in writing. Fees are payable in advance, in EUR, and are exclusive of media spend, third-party tools and applicable taxes. German VAT may apply where required by law.

The client is responsible for providing timely access to advertising accounts, analytics, creative assets, brand guidelines and any approvals required to run campaigns. The client warrants that all materials provided do not infringe any third-party rights and comply with applicable advertising rules of the relevant platforms.

Paid-media performance depends on factors outside our exclusive control (platform algorithms, auction dynamics, creative, offer, seasonality). We commit to professional best efforts but do not guarantee any specific result, ranking, ROAS or revenue.

Strategies, reports and creative assets produced by us become the client's property upon full payment of the related invoice. We retain the right to reuse generic frameworks, know-how and anonymised case data for portfolio and marketing purposes.

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the services is limited to the fees paid by the client in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages, including loss of profits or data.

Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory EU or UK consumer-protection law.

Either party may terminate the engagement with thirty (30) days' written notice. We may suspend or terminate services immediately for non-payment or material breach.

If you contract with us as a consumer resident in the EU or the UK, you have a 14-day right of withdrawal from the conclusion of the contract. By expressly requesting that services begin during the withdrawal period, you acknowledge that the right of withdrawal lapses once the services have been fully performed.

These Terms are governed by the laws of the Federal Republic of Germany, without prejudice to mandatory consumer-protection rules of the client's country of residence. Disputes shall be brought before the competent courts of Oberhausen, Germany, unless mandatory law provides otherwise.

The European Commission provides an online dispute-resolution platform available at ec.europa.eu/consumers/odr. We are not obliged and not willing to participate in dispute-resolution proceedings before a consumer arbitration board.
